Thomsons has advised on a series of significant transactions spanning capital raisings, acquisitions and IPO work, signalling market confidence in Australia's resources sector and listed companies.
Recent assignments in the new financial year include advising:
- Saturn Metals Limited on its A$100 million capital raising to support the development of its Apollo Hill Gold Project in Western Australia;
- Brazilian Rare Earths Limited (BRE) and Alurion Resources Ltd on Alurion's demerger from BRE and subsequent IPO and admission to ASX, raising A$50 million;
- Toubani Resources Ltd on its capital solution, comprising a A$70 million equity raising and US$160 million gold stream;
- Hammer Metals Ltd on the competing control transactions by Larvotto Resources Ltd and Austral Resources Australia Ltd;
- Canyon Resources Limited on the unsolicited off-market bid made by A2MP to acquire the remaining shares in the company it does not already own;
- Elk Range Mining Limited, Innovaero Technologies Limited, Whiterock Lithium Corp. and Powerhaus Uranium Limited on their IPOs; and
- Vysarn Limited on its A$65.3 million capital raising and its acquisition of Welltech Total Water Management Pty Ltd for approx. A$60 million and NewGround Water Services Pty Ltd for A$50 million in shares and scrip. Vysarn's operations include servicing the resources sector.
The transactions saw strong investor support for the development of mining projects in Australia and around the world, and sector consolidation.
Carried out by Thomsons' Perth Corporate team, the assignments reflect continued demand for legal advisers who can support interconnected M&A and equity capital markets workstreams under tight execution timetables.
Western Australia-focused publication Business News identified Thomsons as among the top three law firms in Perth for the number of M&A and equity capital markets deals for the six months to June 30, 2026.
Partner Scott Gibson said the recent assignments demonstrate strength of Thomsons’ ability to help execute complex, transformational transactions that are driving client growth.
“This work shows the breadth of our corporate capability across IPOs, capital raisings and strategic acquisitions, particularly where clients are pursuing ambitious growth strategies and need coordinated advice across multiple transaction streams,” Scott said.
The work also highlights Thomsons’ experience in advising on transactions involving due diligence, structuring, underwriting and placement documentation, ASX-facing execution requirements, completion mechanics and stakeholder coordination.
