Biography
Scott acts for international and domestic corporates, commodity traders, funds and individuals of influence. His client base is concentrated in energy and resources, engineering and mining services, life sciences and technology. He holds a Bachelor of Science (Geology) alongside his law degree, giving him direct technical understanding of the resources sector.
Scott advises on mergers and acquisitions (public and private), IPOs, secondary capital raisings, ASX Listing Rules compliance, asset and tenement acquisitions, joint ventures and FIRB matters. He also has significant experience in shareholder activism, having led a substantial number of successful shareholder requisitioned meetings and Takeovers Panel applications.
Scott co-led the $890 million all-stock merger between Piedmont Lithium and Sayona Mining, including an $80 million associated capital raising, advising on Australian and ASX aspects of the cross-border Delaware-governed merger creating a leading North American hard rock lithium producer. He also led Warriedar Resources' $188 million acquisition by Capricorn Metals (market cap $6 billion) via scheme of arrangement, documenting the entire transaction within three business days of the initial approach. He advised Mitsubishi Motors Corporation on its $97 million on-market acquisition of a 19.9% stake in Fleetpartners Group, and led Global Uranium and Enrichment's $44.5 million merger with Snow Lake Resources via schemes of arrangement.
Scott's geology background gives him technical grounding in the resources sector that is rare among corporate lawyers and directly informs his work on tenement acquisitions, joint ventures and resources transactions. His shareholder activism experience, including Takeovers Panel applications, adds a contested transactions dimension to his practice.
