Biography
Rebecca acts for mining and energy companies, private equity funds and institutional investors on M&A and equity capital markets transactions. Prior to joining Thomsons, she worked at international law firm A&O Shearman advising on cross-border transactions, with a specific focus on energy and natural resources.
Rebecca advises on mergers and acquisitions, disposals, takeovers, equity capital raisings, shareholders agreements and joint ventures. She also advises on ASX Listing Rules, Corporations Act and corporate governance matters, and has experience advising on acquisitions by foreign entities in Australia.
Rebecca's cross-border transaction experience at A&O Shearman, combined with her knowledge of the Western Australian resources market, positions her as a specialist for inbound investment into Australia's resources sector.

Advising a Confidential International Bidder in respect of the proposed acquisition of the Puma Energy (Australia) Group, including its retail fuel business, commercial and industrial fuels business, owned or leased seaboard import terminals and fuel distribution depots.
TotalEnergies / Adani LNG joint venture
Advising on its 50:50 joint venture with the Adani Group in relation to certain LNG assets, the establishment of a co-branded retail network of 1,500 service stations and an onshore LNG marketing business in India and the establishment of an offshore LNG marketing business in Singapore through a separate 50:50 joint venture between Total and the Adani Group.
Mitsubishi Materials Corporation acquisition of Mantoverde stake
Advising on its acquisition of a 30% stake in Chile-based Mantoverde copper mine, from Mantos Copper Holding SpA.
Mineral Resources / Kumina Iron Ore Project acquisition
Advising on the purchase of the Kumina Iron Ore Project from BCI Minerals. The Kumina Project is located in the West Pilbara region enabling Mineral Resources to leverage its existing workforce and logistics supply chain in the Pilbara, with the ore to be exported out of Port Hedland.
OreCorp / Acacia Mining joint venture buyout
Advising on the proposed buy-out of Acacia Mining's remaining interest in the joint venture in relation to the Nyanzaga gold project in Tanzania.Resolute Mining on their AUD 40m equity raising via an underwritten placement and accelerated non-renounceable rights issue and the issue of a prospectus to allow the new shares to trade on the LSE.
