Biography

Philip acts for major listed and private corporations in connection with corporate and commercial activities. His client base includes mining services companies, agribusiness operators, property developers, food service businesses, medical practices and other commercial entities.

Philip advises on acquisitions and divestments (both share and asset purchases), corporate restructuring, commercial contracts, corporate governance and general commercial law. His work covers the full transaction lifecycle across a range of industry sectors, with particular depth in agribusiness (private and public sector), mining services, commercial property development and food service.

Philip has acted as principal legal adviser for Austin Engineering on its acquisition of a major US mining and engineering services business, multiple substantial mining services businesses in Western Australia, Queensland and New South Wales, and provided general corporate advice across Austin's national operations. His practice has also included divestments to multinational food services conglomerates and acquisitions of chain retail and rural merchandising networks.

Philip brings more than 30 years of corporate and commercial experience across industries including agribusiness, mining services, manufacturing and commercial property. His broad sector coverage gives him cross-industry perspective on structuring transactions and managing commercial risk.

Acted as principal legal adviser for Austin Engineering, including advising on the acquisition of a major US mining and engineering services business, multiple substantial mining services businesses in Western Australia, Queensland and New South Wales, and providing ongoing general corporate advice.

Food Services — Acquisitions and divestment to multinational conglomerate

Acted in multiple business acquisitions of food services businesses by asset and share purchase, and the subsequent divestment to a multinational food services conglomerate.

Rural and Agribusiness — Chain acquisitions

Acted in acquisitions of chains of rural merchandising stores and other agribusiness businesses, advising on transaction structuring, documentation and regulatory compliance.
