Arj acts for clubs, hotels, operators, sporting bodies, industry associations, investors and other commercial participants in the hospitality, leisure and gaming sector on corporate advisory and transactional matters. His clients include organisations requiring specialist corporate law advice in the context of board governance, commercial rights, transactions (including M&A) and strategic arrangements.

Arj advises on corporate structuring and governance, mergers and acquisitions, commercial contracts and joint venture arrangements for hospitality and leisure sector clients. His corporate advisory work covers directors’ duties, board governance, shareholder arrangements, commercial contracting and compliance. Arjunan's experience

eBet acquisition

Advising Australian gaming venue software company Venue Digital Technology (now eBet) on all aspects of its acquisition of the Tabcorp (ASX:TAH) subsidiary for A$62 million, including share purchase agreements, due diligence, regulatory approvals and post-transaction implementation.

Amalgamations

Advising several large clubs in their amalgamations with other clubs, including Parramatta Leagues Club, Mounties Group and Windsor RSL Club, including all transactional documentation, due diligence, member approvals, regulatory approvals and completion of asset transfers and liability releases.

Board advisory and corporate risk

Advising several boards and executives on governance frameworks, constitutional reform, directors' duties, compliance programs and risk management, including effective engagement with regulators and integrity bodies overseeing the hospitality and gaming sector.

Venue deals

Advising Sydney Roosters on the partnership deal for home games and finals at Allianz Sydney Football Stadium until 2046.

Commercial transactions

Advising on diverse commercial transactions including hotel management agreements, F&B operator agreements and sporting professional services.
