Major Australian law firm Thomsons has advised Modaxo Group Inc, a global technology organisation focused on moving the world's people, on the Australian aspects of its acquisition of the Public Transit Business of Conduent Incorporated.

The transaction strengthens Modaxo's position as a global leader in transportation technology and expands its capabilities across fare collection, revenue optimisation, fare evasion reduction and fleet reliability technologies used by public transit operators around the world.

Thomsons acted as Australian counsel to Modaxo, advising on the Australian aspects of the transaction.

The acquisition has particular significance in Australia, with the transaction including Conduent's interests in the operation and modernisation of Victoria's myki ticketing system.

Thomsons Partner Steven Hunwicks, who led the firm's work on the Australian aspects of the matter, said the transaction highlighted both the increasing globalisation of transport technology and the growing strategic importance of digital infrastructure in public transport networks.

"This is a significant international acquisition involving complex technology assets and critical public infrastructure," Mr Hunwicks said.

"We were pleased to work closely with Modaxo and its international advisers to support the Australian aspects of the transaction and help navigate the Australian considerations associated with acquiring a business that plays an important role in Australian public transport."

Thomsons' role included conducting Australian due diligence across corporate, technology, intellectual property, employment, property, insurance, banking and finance matters, together with advice on Australian regulatory matters.

Mr Hunwicks said the matter showcased Thomsons' ability to support the Australian aspects of major international technology and infrastructure transactions.

"Transactions of this nature require seamless collaboration across multiple practice areas. Our team was able to draw on expertise from across the firm to provide integrated advice on Australian regulatory, technology, corporate and commercial issues within tight transaction timeframes."

The Thomsons team was led by Steven Hunwicks (Technology) and Special Counsel Jarrod Tucker (Corporate/M&A), supported by specialists from the firm's corporate, technology, employment, property, banking and finance, insurance, competition and financial services teams.

Modaxo completed the acquisition on 1 October 2026.
